Our products are uniquely positioned for the dramatic changes we are all beginning to face due to spiraling energy costs. Our patented mechanical ventilation units offer the best solution to the now widely recognized need to properly ventilate tightly sealed homes with controlled and monitored outside air. All our patented ceiling registers deliver exit air at high velocity in a narrow plane parallel to and hugging the ceiling. As a result, room air is actually pulled upward directly under each register. This ideal flow pattern provides uniform air distribution and mixing to eliminate air stagnation and stratification, producing a comfortable environment throughout. This is in sharp contrast to conventional register/diffusers which direct air downward into occupied zones, producing personal discomfort, stagnation areas and poor thermostatic control. Our patented complementary register control units allow significant energy savings by providing the opportunity to automatically split conditioned air as needed between two selected zones, e.g. day/night, occupied/unoccupied, or upper/lower zones. Our register products are attractive, quiet, and ultra reliable and are completely sealed when closed. They are available in either manual or automated (motorized) models for direct retrofit, for new residential construction, and for both new and retrofit drop-in commercial applications. Our products have won several industry awards and are praised by the contractors and homeowners who have used them. Due to a number of factors, we have been unable to provide the required marketing, advertising, or sales effort to adequately promote our products to the Air Conditioning industry. All injection molds, tooling, patent licenses, remaining inventory of parts, leased facility (if desired), and transition engineering and manufacturing support are included in the sale price. A new owner could begin operating shortly after transfer of ownership.

Facilities: Current leased facility is 4000 sq feet with approximately 2000 sq feet in air conditioned offices, reception area, and manufacturing assembly area with a drop-down loading ramp. Approximately 2000 sq feet in high ceiling warehouse area with large steel storage shelves. Facility is ideally located in a very desirable area with easy access to major highways (NS and EW). Three years remaining on a 5 year lease at well below current market rates. Facility can be sub-leased if buyer is not interested.

Competition: Our products are covered by our patents and are thus unique in the market place and we generally receive very favorable feedback from those who are familiar with and use them. Standard louvered metal ceiling register/diffusers are our major competition for ceiling registers primarily because they have been around for more than 50 years, are manufactured overseas by the hundreds of millions each year and can be sold very cheap. Higher volume manufacturing of our injection molded registers is needed to address this.

Growth/Expansion: Our automated registers are ideal for performing complete air flow control for what will be the next big energy saving development in residential HVAC systems: That is On demand systems which use variable speed blowers and multistage compressors to automatically match BTU capacity and delivered air volume (CFM) as determined by zone thermostats, measured air duct pressure, and the number of registers currently open. This will allow the homeowner to dynamically heat and cool only the occupied areas of his home at tremendous energy savings.

Support/Training: Engineering and manufacturing support including all PCB layout files, Schematic diagrams, bill of materials, assembly drawings, test procedures, manufacturing procedures, etc to enable a smooth transition to new owners.
